Mushbit Host Program Terms
Version host-terms-2026-10-09 · Effective 9 October 2026
1. Who we are and what these Terms cover
These Host Program Terms ("Terms") are an agreement between you and Mushbit Inc., a Delaware corporation with its principal office at 2810 North Church Street, Wilmington, DE 19802, United States ("Mushbit", "we", "us").
They govern your participation in the Mushbit Host Program (the "Program"), in which you make disk space, bandwidth and uptime on your computer available to the Mushbit storage network and, once your machine is approved, earn Credit as described below.
Our Privacy Policy explains how we handle personal data in the Program and forms part of these Terms. These Terms are written in English. Any translation is provided for convenience only; if there is a conflict, the English version controls.
By creating a host account, installing the Mushbit Agent, or clicking to accept, you agree to these Terms. If you do not agree, do not join the Program.
2. Definitions
- Agent: the Mushbit software you install on your machine to take part in the Program.
- Machine: one physical computer running the Agent, identified by its hardware.
- Offered Space: the disk space you choose to make available to the network.
- Verified Offered Space: the part of your Offered Space that our measurements confirm is actually free on your disks, plus the space already used by data we store on your Machine.
- Stored Data: the encrypted fragments of files that the network stores on your Machine.
- Window: each 24-hour period used to calculate Credit, counted from the time your Machine was approved.
- Online Time: the share of a Window during which our servers received regular signals from your Agent, as described in Section 8.
- Credit: the amount in US dollars recorded under Section 8.
- Approval (or Activation): our decision to admit your Machine to earn Credit.
- Expansion List: the list of Machines that completed the evaluation but have not been approved.
- 1 TB means 10¹² bytes (one trillion bytes).
3. Eligibility
To join the Program you must:
- be at least 18 years old and able to enter into a binding contract;
- not be located in, or ordinarily resident in, a country or region subject to comprehensive US sanctions, and not be named on, or owned or controlled by anyone named on, a US government sanctions or restricted-party list (see Section 15);
- give accurate information when you sign up, confirm your email address with the code we send you, and keep your information up to date;
- hold only one host account; and
- run the Agent on a supported system. The Program is available on Windows 10 and Windows 11 (64-bit). Other operating systems are not currently supported.
We may refuse or end participation for anyone who does not meet these requirements.
4. Joining: evaluation and approval
Joining works in these steps: you sign up, download and install the Agent, and leave your Machine running for an evaluation period of about 72 hours, during which we measure it.
After the evaluation, we decide whether to approve your Machine. Approval is decided by our team, case by case, based on what we measured on your Machine (such as the space you offered, how long it stayed online, and its connection) and on the current needs of the network. We do not promise approval, and we do not publish fixed numeric thresholds.
There are two outcomes:
- Approved: your Machine starts earning Credit from the moment of Approval.
- On the Expansion List: your Machine is not approved yet. The Agent stays installed and we keep monitoring it, but it earns no Credit until it is activated. You can keep improving your Machine (for example, keeping it online more of the time or offering more space) and ask us to evaluate it again.
We may also move an approved Machine back to the Expansion List if the network no longer needs it, with notice to you. Credit already recorded is not affected.
5. What you provide
As a host you provide, at your own cost:
- the disk space you choose to offer (you need at least 1 TB of Verified Offered Space to qualify for the minimum described in Section 8);
- your internet connection and bandwidth;
- electricity; and
- a Machine that is switched on and connected as much as possible.
The Agent starts automatically when you sign in to your computer and updates itself automatically. It uses your connection to receive and send data fragments and to run speed tests.
You are responsible for complying with the terms of your internet provider (including data caps), for your electricity and hardware costs, and for any permission you need to use the computer and the connection (for example, from an employer or landlord).
6. The Agent
We grant you a limited, personal, non-exclusive, non-transferable and revocable licence to install and run the Agent only to take part in the Program, while these Terms are in effect.
The Agent updates itself automatically; keeping automatic updates enabled is a condition of taking part. You must not:
- modify, reverse engineer, decompile or tamper with the Agent, except to the extent the law expressly allows despite this restriction;
- falsify, manipulate or interfere with any measurement the Agent reports (including space, uptime and speed);
- run the Agent in a way that makes one Machine appear as more than one, or several Machines appear as one; or
- use the Agent or the Program for any purpose other than taking part in the Program.
You can uninstall the Agent at any time (see Section 14).
7. Data you store for others
The network stores on your Machine fragments of files belonging to other people. Files are encrypted on our servers and split into fragments before they reach your Machine. You cannot read the content of these fragments, and no single fragment contains a usable file.
You must not attempt to access, decrypt, copy, alter, move or delete Stored Data except through the Agent's normal operation or after uninstalling it. We may add, move, repair or remove Stored Data at any time without notice.
You do not acquire any right to Stored Data. Stored Data does not become yours, and you are not responsible for selecting or reviewing its content, which you cannot see.
8. How Credit is calculated
Credit is calculated for each Machine, for each Window, as follows.
Storage. For each Window, your Machine earns US$ 2.50 per TB of Stored Data per month, calculated on the average amount of Stored Data on the Machine during the Window and divided by 30.
Minimum for machines with 1 TB or more. If your Machine keeps at least 1 TB of Verified Offered Space throughout the whole Window, it earns the greater of:
- US$ 3.00 per month (US$ 0.10 per Window); or
- the storage amount above.
Machines with less than 1 TB of Verified Offered Space earn only the storage amount, which can be zero if no data is stored on them.
Online Time. The amount for each Window is then adjusted by the Machine's Online Time in that Window:
| Online Time in the Window | You receive |
|---|---|
| 95% or more | 100% of the amount |
| 90% to less than 95% | 70% of the amount |
| 80% to less than 90% | 50% of the amount |
| less than 80% | nothing for that Window |
The adjustment applies to both the minimum and the storage amount.
Outages on our side do not count against you. Minutes when the cause is attributable to us — such as our servers being unavailable or restarting, network-wide incidents, updates we trigger, or incidents we declare — are excluded when we calculate your Online Time.
Losing and regaining the minimum. If your Verified Offered Space falls below 1 TB, your Machine loses the minimum from the next Window, and we will alert you. It regains the minimum from the Window after it again meets the requirement for a whole Window.
Measurements. Online Time is measured by our servers from the signals your Agent sends; Stored Data and Verified Offered Space are measured by our systems, cross-checked with audits of your Machine. Our records are used to calculate Credit. If you believe a calculation is wrong, tell us within 90 days of the Window and a person will review it.
Changes and closed Windows. We may change the amounts, the Online Time table or the method in this Section under Section 18. A Window that has already been closed is never recalculated because of a later change; corrections are made by a separate adjustment entry.
Several Machines. Each Machine is calculated on its own. Your total is the sum of your Machines.
9. What Credit is, and what it is not
Credit starts accruing from the moment your Machine is approved. It is recorded in US dollars, with up to six decimal places, and becomes payable only as described in Section 10.
Credit is a record of amounts we will pay you under these Terms, subject to their conditions. It is not a salary or wage, not an investment, security or share in Mushbit, and not a promise of any level of income. It earns no interest, cannot be transferred to anyone else, and cannot be used to buy Mushbit services.
We may correct errors in recorded Credit, in either direction, by adding an adjustment entry that states the reason.
10. Payouts
- Machine balance and account balance. Credit is first recorded to each Machine. When a Machine's balance reaches US$ 10.00, it is moved to your host account.
- Holding period. Each day's Credit becomes available for payout 30 days after the Window in which it was earned.
- First payout. No payout will be made before 1 December 2026.
- Minimum. You can request a payout when the available balance in your account is at least US$ 10.00. One payout can include Credit from several Machines.
- How we pay. We pay in US dollars through PayPal or another payout provider we designate. You need an account with that provider that can receive payments where you live; if the provider cannot pay you in your country, we may not be able to pay you. Payout provider fees, currency conversion costs and any bank charges are paid by you.
- Payout account. You register one payout account. Changing it requires confirmation from your email address and a 72-hour waiting period before the next payout.
- Tax information. Before your first payout we will ask you to complete a tax form (Form W-9 if you are a US person, Form W-8BEN if you are not). We cannot pay until it is complete.
- Amounts are paid rounded down to the cent; any remainder stays in your balance.
11. Taxes
You are responsible for reporting and paying any taxes that apply to amounts you receive. Where the law requires, we may report payments to tax authorities (for example, on Form 1099 for US persons) and may withhold tax from payouts.
12. Machines per household
To keep the network spread out, we may limit the number of Machines in one household. Up to two Machines per household are admitted under the normal rules. Additional Machines that appear to be in the same household may be placed under review and, while under review, earn only the storage amount, without the minimum described in Section 8.
13. Suspension, fraud and closure
Suspension. If we reasonably suspect fraud, misuse or a breach of these Terms, we may suspend a Machine or your account while we look into it. While suspended, a Machine earns no Credit, receives no new data, and its balance is frozen. We may move the Stored Data to other Machines and then remove it from yours. We will tell you the reason, unless the law or the investigation prevents it.
Fraud or misuse. If we confirm fraud or misuse, we may close the Machine or your account and cancel its entire balance, including Credit not yet paid. Fraud and misuse include, for example:
- reporting false or manipulated measurements of space, uptime or speed;
- presenting one Machine as several, or reusing hardware to obtain more than one minimum;
- tampering with the Agent or with Stored Data;
- using a VPN, proxy or false information to hide your location or to join from a place where the Program is not available;
- holding more than one host account; or
- any other attempt to obtain Credit you did not earn under these Terms.
Your right to respond. You can contest a suspension or closure by writing to us within 30 days. A person will review your case and reply.
Records. When a Machine is closed, we keep the records needed to prevent repeat fraud, as described in our Privacy Policy.
14. Leaving the Program
You can leave the Program at any time by uninstalling the Agent from your computer. You can also tell us you are leaving by writing to hosts@mushbit.com.
When you leave:
- Stored Data: the network rebuilds the fragments that were on your Machine from other Machines. Once the Agent is uninstalled, you may delete any fragment files that remain on your disk.
- Your balance: Credit available in your account (US$ 10.00 or more) can still be paid out under Section 10. A Machine balance below US$ 10.00 stays recorded; if you return with the same Machine, it continues from where it stopped.
- If you close your host account entirely, you can no longer receive balances below the payout minimum.
We may end the Program, or your participation, for any reason with 30 days' notice, or immediately under Section 13. If we end the Program for reasons not related to your conduct, we will pay any available balance of US$ 10.00 or more.
15. Sanctions and export controls
The Program is not available in countries or regions subject to comprehensive US sanctions, or to persons on US sanctions or restricted-party lists. Sign-up from those places is blocked. You must not use a VPN, proxy or false information to get around these restrictions.
The Agent contains encryption technology and may be subject to US export control laws. You agree not to export, re-export or use it in violation of those laws.
16. No warranties; limitation of liability
The Program and the Agent are provided "as is". We do not promise approval, any amount of Stored Data, any amount of Credit, or that the Program will be available without interruption.
Taking part in the Program uses your hardware, electricity and connection. To the fullest extent the law allows, we are not responsible for wear of your equipment, your energy or connection costs, or loss of your own data. Keep your own files backed up.
To the fullest extent the law allows, Mushbit is not liable for indirect, incidental, special or consequential damages, or for lost profits, and our total liability relating to the Program is limited to the greater of US$ 100 or the Credit we paid you in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited by law.
17. Indemnification
You will compensate Mushbit for losses and reasonable costs caused by your breach of these Terms, your misuse of the Agent, or your violation of the law or of your internet provider's rules.
18. Changes to these Terms
We may update these Terms. Each version has an identifier and an effective date.
- For material changes, we will tell you by email and in your dashboard at least 30 days before they take effect, and ask you to accept the new version. Until you accept, your Machines pause earning Credit; Credit already recorded is not affected and is never cancelled for this reason.
- For other changes (such as corrections of wording), we publish the new version with its date.
Changes never apply to Windows already closed.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules.
If a dispute arises, please contact us first at legal@mushbit.com; we will try to resolve it informally within 30 days. If we cannot, the dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, and not in a class or representative action. Either of us may instead bring an individual claim in a small-claims court where it qualifies.
You can opt out of arbitration by writing to legal@mushbit.com within 30 days after you first accept these Terms. If you opt out, disputes will be resolved by the state or federal courts located in Delaware.
If you live in a country whose law gives you mandatory rights that cannot be waived by contract — including the right to bring proceedings in the courts where you live — those rights still apply.
20. General
- These Terms and the Privacy Policy are the entire agreement between us about the Program.
- You may not transfer your rights under these Terms. We may transfer them to a successor of our business.
- If any provision is found unenforceable, the rest remains in effect.
- If we do not enforce a right, we do not waive it.
- We will send notices to the email address in your account. You can send notices to us at legal@mushbit.com.
- You and Mushbit are independent parties. These Terms do not create an employment, partnership, agency or investment relationship.
